1. Acceptance of Terms

These Terms & Conditions ("Terms", "Agreement") constitute a legally binding agreement between LoRa IT Innovations Private Limited ("Profitbil", "Company", "we", "us") and the merchant entity, business owner, or individual ("User", "You", "Customer") subscribing to or utilizing our POS software, billing system, web applications, or APIs.

By creating an account, launching a free trial, or accessing the Profitbil POS terminal, you acknowledge that you have read, understood, and agree to be bound by all provisions of this Agreement.

2. Description of Services

Profitbil provides a cloud-native Point of Sale (POS) and billing platform designed for retail stores, supermarkets, restaurants, pharmacies, and wholesale distributors. Services include barcode billing, real-time inventory tracking, GST e-invoicing, WhatsApp digital receipt delivery, kitchen display interfaces, and multi-store analytics.

We continuously update our cloud software. We reserve the right to modify, enhance, or deprecate non-material features with advance notice.

3. Payments & Taxes

Subscription fees are billed in advance on a recurring monthly or annual basis via authorized payment gateways (Credit/Debit Card, UPI, Net Banking, Razorpay, Stripe).

All stated subscription prices are exclusive of statutory 18% GST, which shall be calculated and added at checkout based on your registered tax location.

4. Subscriptions & Automatic Renewal

Your subscription plan will automatically renew at the end of each billing cycle (monthly or annual) unless canceled at least twenty-four (24) hours prior to the renewal date via your Merchant Dashboard settings.

Annual subscriptions are billed in full upfront and lock in a discounted rate compared to standard monthly billing rates.

5. Refund Policy

We offer a full 100% thirty-day (30-day) money-back guarantee for all new Starter POS, Growth Suite, and Enterprise Chain paid subscriptions.

If you are dissatisfied with Profitbil for any reason within the first 30 days of your paid account activation, contact support@profitbil.com to receive a full refund of your subscription fee without penalty. Refund requests submitted after 30 days are non-refundable.

6. User Responsibilities

As a subscriber, you are responsible for:

• Maintaining the confidentiality of your master owner account credentials and cashier login PINs.
• Ensuring all products, prices, and tax rates entered into your store catalog comply with local laws.
• Maintaining compatible hardware (barcode scanners, thermal printers, computers) and internet connectivity.

7. Acceptable Use & Restrictions

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the Profitbil application or APIs.
• Use the platform to issue fraudulent tax invoices or process illicit business transactions.
• Sublicense, lease, resell, or distribute the POS software to third-party entities without written approval.

8. Intellectual Property Rights

All software code, user interface designs, logos, trademarks, database schemas, and documentation related to Profitbil remain the exclusive intellectual property of LoRa IT Innovations Private Limited. You retain complete ownership of all business transaction data, customer lists, and product catalogs uploaded to your store account.

9. Account Termination & Suspension

We reserve the right to suspend or terminate accounts in the event of non-payment after a 7-day grace period, or immediately in cases of severe Agreement violation or fraud.

Upon termination, merchants are granted a fourteen (14) day grace period to export all store transaction data and customer lists in CSV/Excel format.

10. Limitation of Liability & Service Availability

LoRa IT Innovations Private Limited strives to provide highly available cloud services with target 99.9% uptime (excluding scheduled maintenance windows). In the event of temporary internet disruption, Profitbil local offline caching enables uninterrupted POS cashier billing at the store terminal.

To the maximum extent permitted by applicable Indian law, LoRa IT Innovations Private Limited shall not be liable for indirect, incidental, special, or consequential damages resulting from business interruption, hardware failure, or lost profits. Our aggregate liability under this Agreement shall not exceed the subscription fees paid by you in the preceding three (3) months.
